Item 8.01 Other Events
On July 29, 2021, the Board of Directors (the “Board”) of Advanced Energy Industries, Inc. (the “Company”) approved a resolution to increase the authorization amount under the Company’s existing share repurchase program (the “Share Repurchase Program”) by $168.1 million to $200 million, which authorization amount includes the $31.9 million that remains available pursuant to the Board’s previous authorization. Repurchases under the Share Repurchase Program may be made from time-to-time in the public or private markets, through block trades, Rule 10b5-1 trading plans or other available means and may include the use of derivative contracts and structured and accelerated share repurchase agreements, all in accordance with applicable securities and other laws, including the Securities Exchange Act of 1934, as amended. The Share Repurchase Program has no time limit. There is no minimum number of shares required to be repurchased under the Share Repurchase Program, and the Share Repurchase Program may be suspended or discontinued at any time. The Company cannot predict when or if it will repurchase any shares as such repurchases will depend on a number of factors, including constraints specified in any Rule 10b5-1 trading plans, price, general business and market conditions, and alternative investment opportunities. Information regarding share repurchases will be available in the Company’s periodic reports on Form 10-Q and Form 10-K filed with the Securities and Exchange Commission.
